1. Acceptance of Terms
By accessing or using Kooptog you agree to be bound by these Terms & Conditions and all applicable laws. If you do not agree, please do not use the platform.
2. Platform Role
Kooptog operates as a marketplace platform and disclosed agent. Vendors are independent suppliers and sellers of record for their listings, pricing, VAT obligations, fulfilment, sales invoices, returns, and product warranties. Buyers contract with the relevant vendor for each vendor order.
3. Payment Handling
Where Kooptog or a payment provider collects customer funds, Kooptog acts only as payment collection agent for the relevant vendor. Payment made to Kooptog or its appointed payment provider discharges the buyer's payment obligation to that vendor to the same extent as payment made directly to the vendor. Those funds are collected strictly on behalf of the relevant vendor and are recorded as vendor funds or liabilities until settled. Product sale proceeds are not Kooptog revenue. Kooptog revenue is limited to platform fees such as subscriptions and advertising.
4. Accounts
You must be at least 18 years old to register. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
5. Prohibited Conduct
Users may not list counterfeit, illegal, or prohibited goods; misrepresent products; manipulate reviews; or engage in fraudulent transactions. Violations may result in immediate suspension.
6. Fees
Vendor subscription and advertising fees are charged as platform services. These fees are separate from product sale proceeds held or recorded for vendors. Kooptog reserves the right to modify fees with 30 days notice.
7. Disputes and Refunds
Kooptog may facilitate communication, moderation, and refund execution as agent, and may recommend a marketplace outcome or enforcement step, but the vendor remains financially responsible for any approved sales remedy unless Kooptog has separately breached an obligation owed directly by Kooptog.
8. Intellectual Property
All platform content, trademarks, and software are the property of Kooptog (Pty) Ltd. User-submitted content remains the property of the submitting user, but a licence to display it on the platform is granted.
9. Limitation of Liability
To the fullest extent permitted by law, Kooptog's liability for any claim arising from use of the platform is limited to the amount paid by the user to Kooptog in the 12 months preceding the claim. Kooptog does not assume liability as supplier of vendor goods or services.
10. Governing Law
These terms are governed by the laws of the Republic of South Africa. Disputes shall be resolved in the courts of South Africa.
11. Changes to Terms
Kooptog may update these terms at any time. Continued use of the platform after changes constitutes acceptance.
